User Agreement

This User Agreement (“Agreement”) outlines your legal rights, responsibilities, and remedies when using the Gigantiq platform. By accepting these terms and using the Services, you agree to be bound by this Agreement, the Privacy Policy, and Principal Terms of Engagement.

If you do not agree to these terms, do not use the Gigantiq platform or its Services.


1. Introduction

  • This Agreement forms a legally binding contract between:
    • You (“User”)
    • IQbusiness (Pty) Ltd (“iqbusiness”)
    • Papaya Global (“Papaya”)
  • Governs your use of:
    • Gigantiq Site and related services (“Services”)
  • If acting on behalf of a business, you must have authority to agree to these terms.

2. Key Definitions

  • Account: Registered account on Gigantiq (Client or Professional).
  • Client: Business or individual seeking professional services.
  • Professional: Freelancer or contractor providing services.
  • Service Contract: Agreement between Client and Professional via Gigantiq.
  • Charges: Fees payable by Client to iqbusiness.
  • Papaya: Third-party payroll and payment provider.
  • User Content: Any content provided by Users (profiles, postings, communications).

3. Purpose of Gigantiq

Gigantiq connects professionals with clients for project-based work.
Services and software are licensed, not sold, and may include additional terms.


4. Accounts and Registration

  • You must create an Account to use Gigantiq.
  • Account approval is subject to Gigantiq’s discretion.
  • Verification may include identity checks and document validation.

Note

By registering, you authorize Gigantiq to verify your identity and business credentials.


5. User Eligibility

You warrant that:

  • You operate as a business or self-employed professional.
  • You use the Services for business purposes only.
  • You comply with all legal and licensing requirements.
  • You are at least 18 years old and legally capable of contracting.

6. User Profile

  • Provide accurate and complete information.
  • Keep your profile updated.
  • False or misleading information may result in suspension or termination.

7. Types of Accounts

  • Client Account: For businesses seeking professionals.
  • Professional Account: For individuals offering services.

8. Security of Credentials

  • Keep your username and password confidential.
  • Notify Gigantiq immediately of unauthorized access.

9. Matching Process

  • Gigantiq uses algorithms to match professionals with projects.
  • Matches are suggestions; final selection rests with the Client.

10. Suspension of Account

Gigantiq may suspend accounts for:

  • Breach of law or this Agreement.
  • Unlawful activity.
  • False or misleading information.

11. Relationship with Gigantiq

  • Gigantiq is a platform, not an employer or agent.
  • Service Contracts are between Users; Gigantiq is not a party.

12. Taxes and Compliance

Users are responsible for their own taxes, insurance, and legal compliance.


13. Charges and Payments

  • Clients pay Charges via Gigantiq.
  • iqbusiness manages Professional payments via EFT or Papaya.
  • Deposits may apply for long-term agreements.

14. Subcontracting

iqbusiness may subcontract obligations but remains responsible for quality.


15. Intellectual Property

  • IP developed for the Client and paid for becomes Client property.
  • No unauthorized use or reverse engineering of IP.

16. Confidentiality

Both parties must keep confidential information secure and not disclose it.


17. Non-Circumvention

Users agree not to bypass Gigantiq by dealing directly with introduced parties for 12 months.

Warning

Breach of this clause may result in account suspension and liquidated damages.


18. Communication and Payments

All communication and payments must occur through Gigantiq and Papaya.


19. Record Keeping

Users must maintain their own records. Gigantiq is not obligated to store documents beyond legal requirements.


20. Warranties and Disclaimers

Services are provided “as is” without warranties of uninterrupted or error-free operation.


21. Limitation of Liability

iqbusiness is not liable for indirect or consequential damages.
Liability is limited to the amount paid for Services giving rise to the claim.


22. Indemnification

Users indemnify iqbusiness against claims arising from their breach or misuse of the platform.


23. Duration and Termination

  • Agreement starts upon account registration.
  • Either party may terminate with written notice.
  • Termination does not affect ongoing Service Contracts.

24. Breach and Remedies

Failure to remedy a breach within 7 days may result in termination and damages.


25. Account Closure

Upon closure, access to stored content is revoked. Some data may be retained as required by law.


26. Governing Law

This Agreement is governed by South African law.
Jurisdiction: High Court of South Africa, Gauteng Division.


27. Dispute Resolution

Disputes will be resolved via AFSA arbitration if not settled within 7 days.


28. General Provisions

  • Entire agreement between parties.
  • Amendments must be in writing.
  • Invalid provisions are severable.
  • No assignment without consent.
